There's a dirty secret with unicorn startups - the potential of a down-round and its implications. This article examines the impact a down round can have on common stock, especially those issued to employees as incentive to work those late hours and weekends. Since late stage investors are protected through various mechanisms such as preferred stock, anti-dilution rights and liquidation preferences, it's the founders and then employees who are last in queue to collect the proceeds. In some cases such as Good Technology, it can even wipe out the entire value of common stock, leading to lawsuits. And so, it is no surprise that some companies do not survive down rounds, not because of finances, but because they can no longer keep their employees - Comment
